Please read these terms carefully before using our services
1. Acceptance of Terms
By accessing our website, requesting a quotation, or entering into a service agreement with Green Power Systems ("the Company", "we", "our", or "us"), you ("Customer", "you", or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or engage our services.
These Terms and Conditions constitute the entire agreement between you and Green Power Systems in relation to the matters set out herein and supersede all prior communications, representations, or agreements.
2. Services
2.1 Scope of Services
Green Power Systems provides solar energy solutions including, but not limited to:
- Site survey, assessment, and system design
- Supply and installation of solar photovoltaic (PV) panels, inverters, mounting structures, and associated equipment
- Grid-connected (net-metering) and off-grid solar system installation
- Annual maintenance contracts (AMC) and periodic servicing
- Net-metering application assistance with KSEB and relevant authorities
- Performance monitoring and reporting
2.2 Service Area
Our services are primarily offered across Kerala, India. We reserve the right to decline service requests outside our current operational areas. Please contact us to confirm availability in your location.
2.3 Site Suitability
The feasibility of solar installation depends on factors including rooftop structure, orientation, shading, electrical infrastructure, and applicable local regulations. Our site assessment will determine suitability. We are not liable for any loss arising from a site being deemed unsuitable after inspection.
3. Quotations and Orders
3.1 Quotation Validity
All quotations provided by Green Power Systems are valid for 30 days from the date of issue, unless otherwise stated in writing. Prices in quotations are based on equipment costs, labour rates, and applicable taxes at the time of issue and are subject to change.
3.2 Order Confirmation
An order is confirmed only upon receipt of a signed work order or agreement and the agreed advance payment. Verbal agreements do not constitute a binding order.
3.3 Cancellations
Cancellations made after order confirmation and before commencement of work may attract a cancellation charge of up to 10% of the total order value to cover administrative and procurement costs. Cancellations after commencement of installation work will be assessed on the basis of work completed and materials procured.
4. Payment Terms
4.1 Payment Schedule
Unless otherwise specified in the project agreement, the standard payment schedule is:
- 50% advance payment upon order confirmation
- 40% upon delivery of materials to site
- 10% upon commissioning and handover
4.2 Late Payments
Payments not received by the due date will attract an interest charge of 1.5% per month on the outstanding amount. We reserve the right to suspend services or withhold commissioning until outstanding amounts are settled.
4.3 Taxes and Levies
All prices are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. GST and any other applicable government levies will be charged at the prevailing rate and reflected on your invoice.
4.4 Government Subsidies
Where applicable, we will assist you in applying for central or state government subsidies (such as the PM Surya Ghar scheme). Subsidies are disbursed directly to customers by the relevant authorities. Green Power Systems is not responsible for delays, rejections, or changes in subsidy amounts. Subsidy eligibility does not affect the customer's payment obligations to us.
5. Installation and Customer Obligations
5.1 Site Preparation
You are responsible for ensuring that the installation site is accessible and safe for our team to work. This includes clearance of obstructions, provision of an electrical connection point, and any structural or civil work identified as a prerequisite during the site survey.
5.2 Permissions and Approvals
You are responsible for obtaining any permissions required from housing societies, municipal authorities, landlords, or other parties prior to installation. Green Power Systems will assist with KSEB net-metering applications, but we are not liable for delays caused by third-party approvals.
5.3 Access
You agree to provide our authorised personnel with safe and timely access to the installation site on the agreed dates. If access is denied or delayed, we reserve the right to reschedule and may charge a standing charge for lost time.
6. Warranties
6.1 Equipment Warranties
Solar panels, inverters, and other equipment supplied by us carry the manufacturer's warranty, details of which will be provided in your project documentation. Standard warranties include:
- Solar Panels: 10-year product warranty; 25-year linear performance warranty (manufacturer-backed)
- Inverters: 5-year manufacturer warranty (extendable)
- Mounting Structure: 10-year warranty against manufacturing defects
6.2 Workmanship Warranty
Green Power Systems provides a 2-year workmanship warranty on all installation work. This covers defects in wiring, mounting, and commissioning attributable to our installation team. This warranty does not cover damage caused by acts of God, misuse, tampering, or modifications made by third parties.
6.3 Warranty Exclusions
Warranties are void if the system has been modified, repaired, or serviced by parties not authorised by Green Power Systems, or if the system has been subjected to physical damage, lightning strike, flooding, or other force majeure events.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Green Power Systems' total liability to you for any claim arising out of or in connection with these Terms shall not exceed the total amount paid by you for the specific service giving rise to the claim.
- We are not liable for any indirect, consequential, incidental, or special damages, including loss of profits, loss of revenue, loss of data, or loss of electricity generation revenue.
- We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, utility company delays, supply chain disruptions, or labour strikes.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.
8. Intellectual Property
All content on the Green Power Systems website — including text, images, logos, system design documents, and technical drawings produced for your project — is the intellectual property of Green Power Systems or our licensors. You may not reproduce, distribute, or use this content for commercial purposes without our prior written consent.
System design drawings and proposals provided to you during the quotation stage remain the property of Green Power Systems and must not be shared with competitor installers.
9. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of India. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to mediation, and if still unresolved, to the exclusive jurisdiction of the courts of Thrissur, Kerala, India.
10. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you acknowledge that you have read and understood our Privacy Policy.
11. Amendments
Green Power Systems reserves the right to update these Terms and Conditions at any time. Changes will be published on this page with an updated "Last Updated" date. Your continued use of our website or services after any amendments constitutes acceptance of the revised Terms. For active service contracts, material changes will be communicated to you directly.
12. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
